These Official Rules apply to the grace & stella Take Me With You Giveaway (Harry Styles MSG 2026), run by Gravitiq X, LLC, to win tickets to a Harry Styles concert at Madison Square Garden. The Contest is subject to all applicable federal, state, provincial, territorial, municipal, and local laws and is void where prohibited.

Overview: The Contest is based on entering a submission describing why you should be selected to win the Prize. The individuals satisfying all Eligibility Requirements and submitting the winning Submission, as determined under these Official Rules, will win the Prize.

(A) General: Except where regulated or restricted by law, the Contest is open to individuals at least 21 years of age and legal residents of the 50 United States, the District of Columbia, or Canada as of the time of Entry. Sponsor employees, directors, officers, their immediate family members, household members, and those of Sponsor's subsidiaries, affiliates, suppliers, or anyone directly connected with Contest administration are not eligible. The Winner's guest must also meet the eligibility requirements. No purchase is required to enter or win, and a purchase will not improve chances of winning.

(B) Additional Eligibility Requirements: Before receiving any Prize, a conditional winner must provide any documents, information, or certifications Sponsor reasonably requires for tax reporting or other purposes, including a signed copy of these Official Rules and a Declaration of Compliance, Liability and Publicity Release. Failure to satisfy these conditions within 48 hours of notice makes that person ineligible, and an alternate Winner will be selected.

The Contest begins at 12:01 a.m. Eastern Time on July 5, 2026, and ends at 11:59 p.m. Eastern Time on July 26, 2026. Entries must be submitted during this Entry Period to be eligible. Sponsor's computer is the official time-keeping device.

To enter, eligible individuals must do all of the following:

(a) Post a video Submission on a public Instagram or TikTok account using #graceandstellatogether explaining why you and your guest should be chosen to receive the Prize. Submissions are judged on originality, creativity, and persuasiveness, in Sponsor's sole discretion.

(b) Visit the Contest webpage at graceandstella.com (or the link in bio), select the Contest link, and complete and submit the Entry Form.

(c) Follow @graceandstella on Instagram or TikTok.

Entrants are encouraged to review Sponsor's Privacy Policy before posting. The Entry Form requests full name, email, platform, handle, and confirmations that both Entrant and guest are at least 21, have valid passports and travel eligibility if applicable, and are available for the September 4, 2026 concert. Completing all three steps constitutes one Entry and agreement to these Official Rules.

Limit one Entry per person during the Entry Period. Multiple Entries by the same person will result in disqualification of all their Entries. The name and email tied to the Instagram or TikTok account used to post the Submission establishes the Entrant's (and potential Winner's) identity. Fake names or emails result in disqualification. Agencies, robotic, or programmed entry methods are prohibited.

Each Submission must be original and on-theme. Sponsor may deem a Submission inappropriate for publication and disqualify the Entrant, in its sole opinion. Transmitting a Submission does not mean you've won or are eligible.

By submitting, Entrants grant Sponsor a non-exclusive, worldwide, irrevocable, perpetual license to use, publish, adapt, edit, display, transmit, copy, alter, store, re-format, modify, and sub-license the Submission in any media, without compensation or right of approval.

Submissions and associated personal information may qualify as Personal Information under applicable privacy law (CCPA, PIPEDA, and Quebec's private-sector privacy act). Once publicly posted, a Submission may be considered publicly available information, which can limit related privacy rights. Entrants agree that Sponsor's use, retention, and publication of the Submission is necessary to fulfill the Contest and consistent with the Privacy Policy.

Submissions deemed offensive, immoral, obscene, profane, defamatory, inconsistent with Sponsor's image, or in violation of these Rules are void, as are Submissions using unauthorized copyrighted or proprietary material or content that disparages Sponsor or others.

Sponsor is not responsible for lost, incomplete, stolen, damaged, garbled, late, or unintelligible Entries, or failures caused by technical or network issues of any kind. Sponsor may void Entries it believes involve tampering with the Contest's administration, security, or fairness.

Starting on or about July 15, 2026 and continuing through July 30, 2026, Sponsor will select nineteen (19) conditional winners based on judging of theme consistency, originality, creativity, and persuasiveness. This is not a random drawing. Sponsor's decisions on any aspect of the Contest are final and binding.

Winning Entrants will be notified by email (or Instagram/TikTok DM if the email bounces) on July 31, 2026. The Entrant must complete required documents and eligibility evidence within 48 hours of notice to become a confirmed Winner. Failure to do so, or not meeting eligibility, forfeits the Prize and Sponsor will select the next most-qualified Submission as an alternate. This process may repeat as needed. Sponsor may suspend or discontinue the Contest if a legal or regulatory issue arises.

Each of the 19 Winners receives: (i) two tickets to the grace & stella box suite for the Harry Styles concert at Madison Square Garden on September 4, 2026; (ii) a $500 USD prepaid debit card for travel; and (iii) one night's hotel lodging in New York City for two, determined by Sponsor based on availability. Estimated retail value of each Prize is $1,620.00 USD.

Odds of winning depend on the number and quality of eligible Entries received; odds are 19 out of the total eligible Entries, a number not currently known.

All taxes and any costs beyond the Prize's stated components are the Winner's sole responsibility. Canadian Winners are paid in USD and are responsible for currency conversion costs and their own tax obligations.

The Prize excludes travel costs beyond the $500 card, plus food and drinks. Winners are responsible for arranging travel, including any required passports or visas.

Prizes will be delivered within 15 days after Sponsor verifies eligibility. Prizes must be accepted as awarded, are non-assignable, non-transferrable, and cannot be upgraded or substituted. A Winner may waive the Prize, triggering selection of an alternate winner.

By entering, Entrants agree to be bound by these Rules and acknowledge that Sponsor and its Affiliates are not responsible for claims, injuries, losses, or damages related to participation or Prize use, and that identity disputes are resolved in favor of the associated email account holder. Sponsor is not liable for the actions of Entrants or third parties, including attempts to circumvent these Rules.

Sponsor may modify these Rules or cancel, terminate, or suspend the Contest if tampering, fraud, or other issues threaten its integrity, selecting a Winner from eligible Entries received up to that point.

Neither Sponsor nor its Affiliates are liable for failure to supply a Prize due to acts of God, government action, terrorism, natural disaster, war, labor disputes, or other causes beyond their control.

By entering, Entrants release and hold Sponsor and its Affiliates harmless from all losses, damages, claims, and actions arising from the Contest or Prize use, including personal injury, death, property damage, and claims based on publicity rights, defamation, or invasion of privacy.

Some jurisdictions, including Quebec, do not allow exclusion of incidental or consequential damages, so these exclusions may not apply to you.

Privacy: Submitted information is handled per Sponsor's Privacy Policy. Entrants should not submit Sensitive Personal Information (race, ethnicity, political or religious views, union membership, genetic/biometric or health data, sex life or orientation). Sponsor may share Personal Information with Affiliates solely for Prize fulfillment. Entrants have rights to opt out of sale/sharing, limit use of Sensitive Personal Information, and access, correct, or delete Personal Information (excluding the Submission itself). Quebec residents have additional portability and de-indexation rights.

Canadian residents: Personal Information is collected for administering the Contest, fulfilling Prizes, legal/tax compliance, and (with separate consent) marketing. It is processed in the United States; entering the Contest constitutes consent to this cross-border processing, which Sponsor safeguards consistent with PIPEDA and provincial law.

California Notice of Financial Incentive: The Contest is a financial incentive program — Sponsor collects contact information in exchange for the chance to win. Entrants may opt out before the Entry Period closes by emailing support@graceandstella.com; withdrawal after the Entry Period closes is not permitted once the Section 5 license takes effect. Sponsor's good-faith estimate: non-winning Submissions are valued at approximately $1.00; a Winning Submission's value equals the Prize value ($1,620.00 USD), reflecting the commercial and marketing value of the Entrant's information and Submission.

By accepting a Prize, the Winner grants Sponsor permission to use their name, voice, and likeness — including concert images and video — for advertising and promotional purposes across any media, without additional compensation, except where prohibited.

Except where prohibited (e.g., Quebec), the Contest and any disputes are governed by New York law, with venue in New York state or federal courts. If any provision is found invalid, the rest of the Rules remain in effect.

By participating, Entrants fully accept these Official Rules and Sponsor's final, binding decisions. Rules are not subject to amendment except as stated here; invalid provisions don't affect the rest, and Sponsor's failure to enforce a term isn't a waiver.
